Messaging Usage & Billing Policy (MAC & Fair Usage)

1. Overview

This policy outlines how messaging usage is measured and billed for services provided by Sprio, including but not limited to WhatsApp, SMS, RCS, and other communication platforms.

Our pricing model may include a combination of:

  • Monthly Active Contacts (MAC)

  • Message volume

  • Platform and telecom charges

  • Subscription or infrastructure costs

2. Monthly Active Contacts (MAC)

A Monthly Active Contact (MAC) is defined as any unique end user who exchanges at least one message (inbound or outbound) with your business during a calendar month.

  • Each user is counted once per month, regardless of the number of conversations initiated.

  • MAC-based billing applies where specified in your commercial agreement or pricing plan.

3. Fair Usage Policy (FUP)

Each Monthly Active Contact includes a fair usage limit of up to 50 messages per user per month, irrespective of message type (transactional, promotional, or conversational).

This fair usage threshold is designed to support standard engagement levels.

4. Overages & Additional Charges

If messaging activity exceeds the fair usage limit:

  • For every additional block of 50 messages (or part thereof) exchanged with a single end user within a month, an additional MAC charge will apply.

Example:

  • 1–50 messages → 1 MAC

  • 51–100 messages → 2 MAC

  • 101–150 messages → 3 MAC

All such usage will be reflected in the monthly invoice.

5. Usage Measurement

  • Usage is calculated based on system logs and platform data maintained by Sprio and/or its third-party service providers.

  • Detailed usage reports can be shared upon request, subject to reasonable notice.

6. Third-Party Platform Dependency

Messaging services rely on third-party platforms (such as telecom operators, WhatsApp Business APIs, and cloud providers).

  • Pricing, message classification, and delivery are subject to the policies of these providers.

  • Any changes in third-party pricing or policies may impact billing.

7. Customer Responsibility

The customer is responsible for:

  • Managing messaging frequency and campaign logic

  • Avoiding excessive or unintended message triggers

  • Ensuring compliance with applicable messaging and data regulations

  • Obtaining necessary user consent where required

Sprio shall not be responsible for excess usage resulting from customer-configured workflows, campaigns, or automation.

8. Billing & Disputes

  • All usage-based charges are billed as per actual consumption.

  • Any billing discrepancies must be reported within the timeframe defined in the agreement.

  • Usage records maintained by Sprio shall be considered final for billing purposes unless proven otherwise.

9. Policy Updates

Sprio reserves the right to update this policy from time to time to reflect changes in technology, platform pricing, or regulatory requirements. Any material updates will be communicated to customers in advance.

By using Sprio’s services, the Customer acknowledges and agrees to this usage and billing methodology, including MAC-based pricing and fair usage limits.
